Welcome to the Grigo Academy educational platform. This document establishes the legal framework, rules of use, and intellectual property policy governing access to the grigo.academy domain and all associated services.
1. General Information and Platform Status
The Platform is owned and operated by GRIGO ACADEMY SRL, company identification number (IDNO) 1020600006744, headquartered at MD-2071, Stradela Angela Păduraru 32, Chisinau, Republic of Moldova.
Grigo Academy operates as a Software as a Service (SaaS) provider and a digital connection directory. We provide instructors with technological tools to create, organize, and host lessons or courses, as well as promotional space to connect with prospective students.
By creating an account, accessing, or using any feature of the Platform, you confirm that you have read, understood, and fully accepted these Terms and Conditions. If you do not agree with the provisions of this agreement, you must immediately cease using the Platform.
2. SaaS Technology Model and Disclaimer of Financial Liability
The Grigo Platform operates on a hybrid model of a software tool and an educational directory. Clear understanding of Grigo's role is essential for all users:
- Absence of Course Payment Intermediary Services: Grigo DOES NOT collect money from students on behalf of instructors, DOES NOT process payments for tutoring sessions, classes, or courses, and DOES NOT act as a collection agent, financial intermediary, or payment guarantor between students and instructors.
- Direct Transactions Between Users: All financial arrangements, pricing, payment methods (cash, direct bank transfer, etc.), and scheduling are agreed upon exclusively and directly between the student and the instructor, completely independent of Grigo.
- Full Refund Disclaimer: Grigo, its directors, founders, and partners have no legal or financial obligation to issue refunds, mediate financial disputes, hold funds, or compensate for losses resulting from commercial disagreements, lesson cancellations, or dissatisfaction with the educational quality provided by instructors.
- Direct Resolution Obligation: Any refund request or compensation claim must be addressed directly to the instructor with whom the student agreed on payment. Grigo will not process or respond to refund requests regarding educational services rendered by third parties.
3. Account Registration, Eligibility, and Security
To access advanced Platform features, users must create an account (student or instructor).
- Minimum Age: The minimum age for independent account creation is 16. Individuals aged 13 to 16 may use the Platform exclusively with the consent and direct supervision of a parent or legal guardian.
- Data Accuracy: You agree to provide true, accurate, and complete information upon registration. The use of false identities, invalid contact details, or unauthorized representation of an official capacity is strictly prohibited.
- Credential Security: You are solely responsible for maintaining the confidentiality of your password and authentication credentials. Any activity conducted through your account is directly attributable to you. You must immediately notify the support team (info@grigo.academy) if you suspect unauthorized account access.
4. Intellectual Property Compliance and Takedown Policy
Grigo Academy respects intellectual property rights and applicable copyright legislation (including the EU Directive on Copyright in the Digital Single Market and the Digital Services Act). Uploading, distributing, displaying, or publishing any material that infringes upon copyright, trademarks, patents, or other intellectual property rights of third parties is strictly prohibited.
Notice and Takedown Procedure: If you are a copyright owner or an authorized legal representative and believe that content hosted on Grigo Academy infringes upon your rights, you may submit an Official Notice to: info@grigo.academy.
The notice must mandatorily include the following elements:
- A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
- Detailed identification of the copyrighted work claimed to have been infringed.
- Identification of the infringing material and the exact URL on the Platform where it is located (direct link to the course page or instructor profile).
- Complete contact details of the claimant (full name, physical address, phone number, and email address).
- A statement made under penalty of perjury that the use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate and that you are authorized to act on behalf of the owner.
Removal Procedure and Disciplinary Measures: Upon receipt of a valid notice complying with the requirements above:
- Grigo will act promptly to remove or disable access to the reported material within a maximum of 48 business hours of confirmation.
- Grigo will notify the instructor who uploaded the material regarding the action taken, providing them with the opportunity to submit a legal counter-notice.
- If an instructor accumulates repeated copyright infringement notices, Grigo reserves the discretionary right to immediately terminate their account, cancel their software subscription without refund, and permanently ban them from the Platform.
5. Instructor-Specific Terms (Warranties and Indemnification)
Individuals who register as instructors and use Grigo tools to publish educational materials or promote their services accept the following contractual obligations:
- Content Ownership Guarantee: The instructor represents and warrants that they own all rights, licenses, authorizations, and consents necessary for all content (text, video, audio, course materials, images) uploaded to the Platform.
- License Granted to the Platform: The instructor grants Grigo a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, stream, display, reformat, and promote the respective content for the operation, optimization, and marketing of the Grigo Platform.
- Tax Responsibility: The instructor is solely responsible for declaring income received from students, paying applicable taxes in accordance with tax laws in the Republic of Moldova, Romania, or their country of tax residence, and issuing fiscal receipts or invoices to students.
- Indemnification Clause: The instructor agrees to fully indemnify and hold harmless Grigo Academy, its founders, directors, employees, and partners against any damages, losses, legal fees, attorney costs, or financial claims raised by third parties resulting from copyright infringement, intellectual property violations, or non-compliance with applicable laws through the content or activities conducted by the instructor on the Platform.
6. Software Subscriptions, Payments, and Billing via MAIB
Instructor access to advanced Platform features (course creation, organization tools, directory visibility) is provided via a paid subscription to Grigo.
- Secure Payment Processing: Payments for Grigo software subscriptions are processed securely through our banking partner MAIB (Banca Comercială Moldova Agroindbank). Grigo does not store or directly process user credit card details.
- Currency and Costs: Subscription prices are displayed on the site in MDL. Any currency conversion fees charged by the instructor issuing bank fall entirely under user responsibility.
- Subscription Cancellation: Instructors can disable automatic subscription renewal at any time from their account dashboard. Cancellation will take effect at the end of the current billing period, without prorated refunds for amounts already paid for the current month or year.
- Billing: Tax invoices for SaaS services provided by Grigo will be issued electronically and made available to instructors in their user account or via email.
7. Prohibited Conduct and Rules of Use
To maintain a safe and professional learning environment, users (students and instructors) are strictly prohibited from:
- Copying, recording, unauthorized downloading, reselling, or distributing video content, files, or educational resources from the Platform.
- Sharing account credentials with third parties or selling/transferring personal accounts.
- Using scripts, bots, crawlers, or automated data collection techniques (web scraping) on the Platform.
- Distributing illegal, defamatory, obscene, harassing, discriminatory, or violence-inciting content.
- Attempting to compromise web application security, injecting malicious code, or launching cyberattacks against Grigo infrastructure.
Violating these rules results in immediate account suspension or termination without prior warning and without subscription refunds.
8. Limitation of Technical Liability
The Grigo Academy Platform is provided on an "as is" and "as available" basis.
Grigo does not guarantee that Platform operations will be uninterrupted, fully secure, or free of temporary technical errors, maintenance glitches, or server downtime. To the maximum extent permitted by applicable law, Grigo is released from all liability for direct, indirect, incidental, special, or consequential damages (including lost profits, data loss, or business interruption) resulting from the use or inability to use the Platform.
9. Personal Data Protection
Processing of personal data is carried out in accordance with data protection legislation (GDPR in the European Union and the Law on Personal Data Protection in the Republic of Moldova).
We collect and process data such as name, email address, IP address, and site browsing history exclusively to deliver services, manage accounts, and process subscriptions. For complete details regarding your rights (access, rectification, erasure), please consult our dedicated page: Privacy Policy.
10. Amendments, Governing Law, and Contact
Grigo reserves the right to modify or update this document at any time. Changes become effective upon publication on this page, indicating the date of the latest revision at the top. Continued use of the Platform following published updates constitutes tacit acceptance of the new terms.
This agreement is governed by and construed in accordance with the laws of the Republic of Moldova. Any dispute that cannot be resolved amicably shall be submitted to the competent courts located at the registered office of GRIGO ACADEMY SRL.
